Terms of Service
Please read these terms carefully before using the Infrawise platform.
Introduction
These Terms of Service ("Terms") govern your access to and use of the Infrawise platform and related services (the "Service") provided by Infrawise ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so.
Use of Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You may not sublicense, resell, or otherwise make the Service available to third parties. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Account Registration
To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for safeguarding your password and for any activity occurring under your account. We reserve the right to suspend or terminate accounts that we believe are being used fraudulently or in violation of these Terms.
Cloud Integration and Data
The Service requires read-only access to your cloud provider accounts in order to analyze resource usage and generate recommendations. You authorize us to access this data solely for the purpose of providing the Service. You retain ownership of all data associated with your cloud accounts. We will not access, use, or disclose this data except as necessary to provide the Service or as described in our Privacy Policy.
Prohibited Conduct
You agree not to: • Use the Service for any unlawful purpose or in violation of any applicable laws • Attempt to gain unauthorized access to the Service or its underlying systems • Interfere with or disrupt the integrity or performance of the Service • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to transmit malware, spam, or other harmful content • Scrape, crawl, or otherwise extract data from the Service in bulk without written permission • Impersonate any person or entity, or misrepresent your affiliation
Intellectual Property
The Service and all related technology, software, content, and materials are owned by Infrawise or our licensors and are protected by intellectual property laws. These Terms do not grant you any rights in our intellectual property except for the limited right to use the Service as described herein. You retain ownership of any data you provide to us. By using the Service, you grant us a limited license to process your data as needed to provide the Service.
Payment and Subscriptions
Certain features of the Service require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change our pricing with reasonable notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. Cost savings recommendations provided by the Service are estimates based on available data and are not guarantees of actual savings. You should independently evaluate all recommendations before implementing them.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFRAWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Termination
Either party may terminate these Terms at any time. You may terminate by deleting your account and ceasing use of the Service. We may suspend or terminate your access at any time, with or without cause, with reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts located in Delaware. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.
